General terms and conditions for Northstone Partners ApS
1. Scope of application
These terms and conditions apply to all services provided by Northstone Partners, unless a separate written agreement has been entered into.
2. Conclusion of the agreement
An agreement is considered concluded when:
• The customer accepts an offer,
• The customer books a course,
• Or written confirmation has been provided.
3. Nature of the services
Northstone Partners provides consulting, sparring, analysis, workshops, board and advisory services. The services are based on professional experience and best practices, but do not constitute legal, audit or financial advice unless specifically agreed.
4. Price and payment
• All prices are exclusive of VAT.
• Private customers will be informed of the price including VAT.
• Invoicing is done by agreement.
• Payment terms: 8 days net, unless otherwise agreed.
• In the event of late payment, default interest will be charged in accordance with the Danish Interest Act.
• Courses and workshops are invoiced at start-up, unless otherwise agreed.
5. Cancellation and changes
• Cancellations made less than 48 hours before the scheduled meeting/workshop will be charged 50%.
• Cancellation on the same day will be invoiced at 100%.
• Relocation is accepted free of charge up to 48 hours in advance, but only once per project.
Should the customer request a move for any reason more than once, 100% will be invoiced on the day the move request is received by Northstone Partners.
6. Customer responsibility and participation
The customer must ensure that necessary information, data, access and decision makers are available. Failure to do so may impact delivery and schedule.
7. Confidentiality
Northstone Partners is subject to full confidentiality, see separate confidentiality statement on the website www.northstonepartners.dk.
8. Liability and limitation
Northstone Partners is liable according to the general rules of Danish law, however, with the following limitations:
• Indirect losses, operating losses and consequential damages are not compensated.
• The total liability can be a maximum of the value of the specific project/course.
• Advice is provided based on the customer's information.
We cannot be held responsible for errors in the customer's data.
9. Rights
All materials, reports, presentations and analyses are the copyright of Northstone Partners. The client is granted the right to use them for internal use.
10. Data processing
Personal data is processed in accordance with our privacy policy which can be found on the website www.northstonepartners.dk.
11. Applicable law and venue
Any dispute will be settled according to Danish law with the court in Glostrup as the first instance.
