Non-Disclosure Agreement (NDA)

Between:

Northstone Partners ("Advisor") and [Client/Company] ("Client")

 

 

1. Purpose

The purpose of this confidentiality statement is to ensure full confidentiality in connection with advice, sparring, analyses, board work and other cooperation between the parties.

 

2. Confidential information

Confidential information includes — but is not limited to:

• Strategies, plans, financial information

• Organizational conditions, employee data and decision-making material

• Business models, customer data and internal documents

• Personal information

• Information that must naturally be considered confidential

 

3. Obligations of the parties

Both parties undertake to:

• To treat all information confidentially

• Not to disclose information to third parties without written consent

• To use information only for the purpose for which the collaboration is intended

• To ensure appropriate technical and organizational security measures

 

4. Exceptions

Information is not confidential if:

• They were already publicly known

• They are received from third parties without breach of a confidentiality obligation

• They must be disclosed in accordance with law (e.g. authorities) – after prior notification of the other party

 

5. Duration

The confidentiality obligation applies to:

• Throughout the collaboration, and

• 5 years after the end of the collaboration, unless Danish law requires longer.

 

6. Ownership

All information remains with the party that provided the information.

 

7. Return/deletion

Upon termination of the collaboration, material will be deleted or returned upon request – unless the Accounting Act or other legislation requires storage.

 

8. Applicable law and disputes

This agreement is subject to Danish law. Disputes will be settled in the court in Glostrup.
